Tata Motors Approves Demerger Plan: What You Need to Know

Tata Motors’ board has given the green light to a proposal to demerge the company into two separate listed entities. According to a statement released by the company, this move will result in the creation of a commercial vehicles business and a passenger vehicles business.

Implementation through NCLT Scheme:

The demerger process will be carried out through an NCLT (National Company Law Tribunal) scheme of arrangement. The firm assures shareholders they will maintain identical shareholdings in both listed entities.

Strategic Rationale by Tata Motors:

The decision to demerge is logical following the earlier subsidiarisation of PV (Passenger Vehicles) and EV (Electric Vehicles) businesses in 2022. Tata Motors believes that separating the businesses will empower them to pursue their strategies with greater agility and accountability. 

While there may be limited synergies between Commercial Vehicles (CV) and Passenger Vehicles (PV) businesses, significant opportunities exist across PV, EV, and JLR (Jaguar Land Rover), particularly in areas such as EVs, autonomous vehicles, and vehicle software.

Statement from Tata Motors Group Chairman:

N Chandrasekaran, Chairman of Tata Group, emphasized that the company’s automotive business units now operate independently and deliver consistent performance. 

He believes the demerger will enable the three companies to capitalize on opportunities with enhanced focus and agility, ultimately leading to a better customer experience, improved employee growth prospects, and increased shareholder value.

The demerger process is estimated to take 12-15 months to complete. Tata Motors reassures stakeholders that the demerger will not adversely affect employees, customers, or business partners.
